How to verify a Wyoming business for KYB

Wyoming's registry is generous with filing history and stingy with people. A KYB analyst gets status, three separate standing flags, the principal office, the registered agent and a dated list of every annual report, free. For an LLC, the record usually names no human being at all. This guide covers how to read a Wyoming record, what it proves, and what to request from the applicant. It is one of seven state guides built on our study of all 50 state registries and DC.

Step 1: Search the Business Center

The official search is the Secretary of State's Business Entity Search at wyobiz.wyo.gov. Search by filing name (starts with or contains) or by Filing ID, which has the form 2000-000123456. There is no fee and no login.

One practical note: the site sits behind an automated bot-protection layer. A normal browser loads it; scripted requests got a JavaScript challenge when we tested on 2026-09-30. Plan on manual lookups.

The results list already shows useful triage data for each match: status, tax standing, registered-agent standing and the filing date. Open the record that matches the applicant's exact legal name.

Step 2: Read the entity record

A Wyoming record, as we saw it on a live LLC on 2026-09-30, shows:

  • Status, for example Active or Inactive, with the reason (such as "Revoked (Tax)").
  • Three standing fields: Standing - Tax, Standing - RA and Standing - Other.
  • Initial filing date, the inactive date where relevant, the term of duration and the state of formation.
  • Principal office and mailing address.
  • Registered agent name and address.
  • Latest annual report and year, whether the entity is exempt from annual reports, and the license tax paid.
  • History: every filing by date, including annual reports, delinquency notices, revocations and reinstatements.
  • Parties: for corporations, the officers and directors from the annual report. On the LLC we checked, this section read "None Currently Assigned."

The history list is the most valuable part for KYB. A run of annual reports filed on time for many years is a real signal of continuity. A pattern of delinquency notices, revocation for tax and reinstatement tells you the entity has lapsed before, and when.

Step 3: Pull documents and a certificate, free

The Secretary of State's FAQ explains that when a PDF icon appears next to a filing in the History list, the image is available from that icon. Pull the articles and the latest annual report into the case file.

Electronic certificates of good standing are free. Each carries a validation number that anyone can check against the state's system. If the applicant sends a Wyoming certificate, validate it yourself rather than trusting the PDF. A manually signed certificate costs $20 under the fee schedule. The Secretary of State adds a caution worth quoting to credit and risk teams: good standing only means the required paperwork and fees are current, and it "in no way implies endorsement" of the business. What Wyoming law requires on the public record

The gaps in a Wyoming LLC record are by design, and it helps to know exactly where they come from.

  • Articles of organization must state only the company's name and its registered office and agent (W.S. 17-29-201). No members, managers or organizers' addresses are required.
  • The LLC annual report is a certification of capital, property and assets located in Wyoming, with the principal office address, and a license fee of $60 or two-tenths of a mill on those assets, whichever is greater (W.S. 17-29-209). It names no managers or members.
  • The corporation annual report is different. It must give the names and addresses of officers and directors (W.S. 17-16-1630), which is why corporations show parties and LLCs usually do not.
  • Registered agents hold the missing data. Under W.S. 17-28-107 the registered agent must keep the names and addresses of each domestic entity's directors, officers and LLC managers, plus a natural person authorized to receive communications. Under W.S. 17-28-108 the Secretary of State holds any such records it obtains in confidence, releasing them only under a court-ordered subpoena or to law enforcement. An entity can choose to file that information with the state instead.

For a KYB analyst, the result is simple. A Wyoming LLC's beneficial owners and managers must come from the applicant.

Red flags specific to Wyoming files

Principal office equals the registered agent's address. Wyoming requires commercial registered agents to register with the state (W.S. 17-28-105), and one agent office can serve many entities. If the principal office on the record matches the agent's street address, the record tells you nothing about where the business operates. See registered-agent address.

Formation date that contradicts the claimed history. The initial filing date is authoritative. An entity formed last quarter that claims a decade of trading needs a predecessor entity, a name history or an explanation.

An old entity with a thin history. Watch the opposite case too. An LLC formed years ago with little in its History list beyond annual reports, and recently changed name or agent, may have been bought as an aged entity. Ask when the current owners acquired it, and see shelf company vs shell company.

Repeated revocation and reinstatement. One lapse is common. Several, or a reinstatement filed just before the application, deserve a question about the entity's status on the dates that matter to you.

No parties and no documents offered. An LLC record with no parties is normal in Wyoming. An applicant who then declines to provide an operating agreement or ownership chart is not.

Out-of-state operations with no foreign registration. If the business operates from another state, check that state's registry for a foreign registration.

What to request from a Wyoming applicant

  • Articles of organization or incorporation (you can often pull these free from the History list).
  • The operating agreement, or the pages that name members, percentages and managers, plus a signed ownership chart down to natural persons, with identity documents for each owner above your threshold. See operating agreement.
  • The name of the natural-person contact on file with the registered agent, and the manager list the agent holds, if the applicant will share them.
  • Proof of the real operating address when the principal office is an agent's address.
  • An EIN confirmation letter matching the registered name.
